1. Acceptance of Terms
By creating an account, accessing, or using VidGent (“the Platform,” “the Service,” “we,” “our,” or “us”), you agree to be bound by these Terms and Conditions (“Terms”) and our Privacy Policy. If you do not agree to all of these terms, you are strictly prohibited from using the Service and must discontinue use immediately.
2. Description of Service
VidGent provides a web-based YouTube analytics, search engine optimization, and channel management tool designed to help content creators optimize their video performance.
Service Availability: The Platform is currently provided to you free of charge. We reserve the right to modify, suspend, or discontinue any feature, tool, or portion of the Service at any time, with or without notice. We also reserve the right to introduce fees or paid subscription models for specific features or tiers of the Service in the future.
3. Eligibility and Account Security
Age Requirement: You must be at least 13 years of age to use this Service. If you are under 18, you represent that you have the consent of a parent or legal guardian to use the Platform.
Account Accuracy: You agree to provide accurate, current, and complete information during the registration process and to keep your account details updated.
Credential Security: You are entirely responsible for maintaining the confidentiality of your account login credentials. You agree to notify us immediately at support@vidgent.ai of any unauthorized use of your account. We cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.
4. Integration with Third-Party Services (YouTube API)
VidGent interacts directly with YouTube to fetch and display analytics data for your channel.
Binding Terms: By using VidGent and connecting your YouTube channel, you explicitly agree to be bound by the YouTube Terms of Service (available at https://www.youtube.com/t/terms) and the Google Privacy Policy (available at https://policies.google.com/privacy).
API Availability: We rely on Google/YouTube API infrastructure to deliver data. VidGent is not responsible or liable for any service interruptions, data inaccuracies, or feature loss caused by changes, restrictions, downtime, or policy updates implemented by YouTube or Google.
Access Revocation: You can disconnect VidGent's access to your YouTube data at any time via your Google Security Settings page. Doing so will limit or terminate the functionality of the VidGent tool for that channel.
5. Acceptable Use and Prohibited Activities
You are granted a non-exclusive, non-transferable, revocable license to access VidGent strictly in accordance with these Terms. You explicitly agree that you will not:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform.
- Use any automated system, including “robots,” “spiders,” or “offline readers,” to scrape, harvest, or access data from the Platform without our express written permission.
- Use VidGent in any manner that could damage, disable, overburden, or impair our servers or networks.
- Bypass or attempt to bypass any security measures or access restrictions implemented on the Platform.
- Share your account access or subscriptions with unauthorized third parties.
6. Intellectual Property Rights
Our Property: VidGent, including its logo, branding, user interface, software code, algorithm designs, website text, graphics, and proprietary metrics, is the exclusive intellectual property of VidGent and is protected by copyright, trademark, and other intellectual property laws.
Your Property: You retain all ownership rights to the content, metadata, and original data associated with your YouTube channel. By connecting your channel, you grant VidGent a limited, worldwide, royalty-free license to aggregate, anonymize, and process your data solely for the purpose of delivering and improving our analytics services.
7. Disclaimer of Warranties
Important Notice for Creators: VidGent provides growth recommendations, keyword data, and performance analytics based on current algorithm trends. We do not guarantee specific channel growth, subscriber increases, view counts, or monetary revenue resulting from the use of our tools.
VIDGENT IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPLETELY ACCURATE.
8. Limitation of Liability
To the maximum extent permitted by law, VidGent, its directors, employees, or partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of profits, loss of data, loss of channel monetization, account suspensions by YouTube, or other intangible losses resulting from:
Your use of or inability to use the Platform.
Any unauthorized access to or use of our secure servers.
Any changes, algorithmic shifts, or service terminations enacted by YouTube.
9. Termination
We reserve the right, without notice and in our sole discretion, to terminate or suspend your account and access to VidGent for any reason, including but not limited to a breach of these Terms, non-payment of subscription fees, or behavior that we deem harmful to other users or our business operations.
10. Governing Law
These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of your operating jurisdiction, without regard to its conflict of law principles.
11. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this website and updating the “Effective Date” at the top. Your continued use of VidGent after such modifications constitutes your acceptance of the revised Terms.
